Terms of Service

VerthenXweb (verthenxweb.in) reserves the right, at its sole discretion, to modify, amend or update this Terms of Service at any time without prior notice. Any changes will become effective immediately upon posting the revised Terms of service on verthenxweb.in. The “Updated date and Effective date” reflects the date of the latest revision. Your continued use of our services following any such change constitutes your acceptance of the revised Terms of Service.

  1. Parties & Acceptance
  • These Terms of service provided by VerthenXweb (“we”, “Service Provider”) to the client (“you”). By engaging our services or paying for a proposal, you accept these Terms.
  1. Services Covered
  • We provide website development (Shopify, WordPress, WooCommerce, Etc), POS setup, video & content editing, advertising (Meta, Google), and website management Etc. Each engagement will have a specific proposal/statement of work detailing the scope, schedule and fees. These Terms apply unless a written agreement overrides specific clauses.
  1. Proposal Approval & Finalization
  • A project is confirmed when you accept the proposal and the agreed advance is paid.
  • After confirmation, the scope and price are considered fixed unless parties agree in writing to changes.
  1. Payment Terms & Schedule
  • Advance: 10%–50% of the project fee (exact amount set in proposal) is payable before work begins.
  • Milestones: For many projects we use milestone payments (e.g., 50% mid-project, 50% final), as described in the proposal.
  • Final Payment: Handover of final deliverables and credentials is contingent on full payment. We may pause or stop work for overdue invoices.
  • Termination: If you terminate, you must pay for work completed up to termination; we will invoice for that amount.
  1. Delivery & Timelines
  • Delivery estimates (for example: websites in 10–20 days) are based on timely client inputs. Delays in client approvals or missing materials may extend timelines.
  • Final delivery occurs when we provide the agreed artifacts or access and you confirm acceptance (or when payment is completed as per agreement).
  1. Handover, Ownership & Credentials
  • Deliverable-based services (websites, videos, content, POS setup): after full payment, ownership of final deliverables transfers to you, except for third-party licensed components (themes, stock assets). You are responsible for complying with license terms for third-party items.
  • Account creation: If we create accounts (email, Google/Meta/third-party), credentials will be provided to you after full payment unless otherwise agreed. After handover, account security and management are your responsibility.
  • Ongoing services (ad campaigns, active management): these are service engagements (not a finite file handover). Access may be shared, but the service remains active while agreed and billed.
  1. Post-Delivery Responsibility & Support
  • After final handover and full payment, we are not responsible for bugs, errors, or issues that arise due to third-party changes, client modifications, hosting configurations, or external factors — unless a separate maintenance or warranty agreement is in place.
  • Support or maintenance after handover requires a separate paid agreement.
  1. Portfolio & Team Portfolios
  • You grant VerthenXweb permission to display your brand name, website and logo in our portfolio, website, and marketing materials for the purpose of presenting completed work.
  • The principal team member who executed significant work on your project (designer/developer/marketer) may include the project, logo, website and brand name in their personal professional portfolio, provided no confidential or sensitive information is disclosed.
  • If you require restrictions on public use of your name/logo, these must be stated in writing before work begins and will be included in the project agreement.
  1. No Performance Guarantees
  • We do not guarantee specific sales, orders, views, or conversion metrics. While we optimize and advise, results depend on many factors (product, pricing, budget, market conditions). Any performance estimates are illustrative, not guaranteed.
  1. Third-Party Services & Renewals
  • We may recommend hosting, domain registrars, plugins, or third-party tools; selection and purchase remain the client’s responsibility unless the proposal states otherwise. Renewals (domains, hosting, subscriptions) are client obligations.
  1. Termination & Notice
  • Either party may terminate by giving at least 24 hours’ notice in writing. Termination does not relieve the client’s obligation to pay for work completed. All work completed and invoiced up to termination must be paid. Credentials or deliverables may be handed over after outstanding invoices are cleared.
  1. Custom Clauses & Written Agreements
  • Any custom terms—such as restricting portfolio use—must be clearly written and signed in a separate agreement. Only those written terms will apply, and all remaining terms will follow this policy.

  1. Limitation of Liability & Warranty
  • We provide services in good faith. To the extent allowed by law, our liability is limited to fees paid for the relevant service. We are not liable for indirect, incidental, or consequential damages. Services are provided “as-is” unless a warranty is written separately.
